FileFetch Terms of Service

1. Acceptance of Terms

By accessing or using FileFetch ("the App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the App. These Terms apply to all users of FileFetch.

2. Description of Service

FileFetch is a utility application developed by Market Disrupt that enables users to download images and file attachments stored within their HubSpot portals. The App acts solely as a download interface and does not store, modify, or transmit your data beyond what is required to perform the requested download.

3. User Responsibilities

You are solely responsible for:

  • Ensuring you have the legal right and authorization to download any files retrieved through the App
  • Compliance with your organization's data handling, privacy, and security policies
  • Compliance with all applicable laws and regulations, including data protection laws (e.g., GDPR, CCPA), regarding the files you download
  • Maintaining the confidentiality and security of any downloaded files after retrieval
  • Any consequences resulting from unauthorized download or misuse of files

4. HubSpot Integration

FileFetch connects to HubSpot via the HubSpot API using credentials or permissions you provide. Market Disrupt is not affiliated with, endorsed by, or in any way officially connected to HubSpot, Inc. Your use of HubSpot through this App remains subject to HubSpot's own Terms of Service and Privacy Policy. Market Disrupt is not responsible for changes to the HubSpot API, access interruptions, or data discrepancies originating from HubSpot.

5. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. MARKET DISRUPT DOES NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOUR USE OF THE APP IS AT YOUR SOLE RISK.

6. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, MARKET DISRUPT AND ITS OFFICERS, EMPLOYEES, CONTRACTORS, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF DATA, LOSS OF REVENUE, LOSS OF BUSINESS, OR ANY OTHER COMMERCIAL DAMAGES OR LOSSES, ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, EVEN IF MARKET DISRUPT HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL MARKET DISRUPT'S TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THE APP EXCEED THE AMOUNT PAID BY YOU TO MARKET DISRUPT IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

7. Indemnification

You agree to indemnify, defend, and hold harmless Market Disrupt and its officers, employees, contractors, and agents from and against any claims, liabilities, damages, losses, or expenses (including reasonable attorneys' fees) arising out of or in any way connected with: (a) your use of the App; (b) your violation of these Terms; (c) your violation of any third-party rights, including intellectual property or privacy rights; or (d) any unauthorized use of files downloaded through the App.

8. Intellectual Property

The App, including its design, code, and branding, is the property of Market Disrupt and is protected by applicable intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to use the App solely for its intended purpose. You may not copy, modify, reverse engineer, or create derivative works of the App.

9. Data Privacy

FileFetch does not collect or retain the files you download. Any credentials or tokens used to authenticate with HubSpot are handled in accordance with Market Disrupt's Privacy Policy. You are responsible for any personal data contained within files you download and for handling such data in compliance with applicable privacy laws.

10. Modifications to the App or Terms

Market Disrupt reserves the right to modify, suspend, or discontinue the App at any time without notice. Market Disrupt also reserves the right to update these Terms at any time. Continued use of the App following any update constitutes acceptance of the revised Terms.

11. Termination

Market Disrupt may suspend or terminate your access to the App at any time, for any reason, with or without notice. Upon termination, all licenses granted under these Terms will immediately cease.

12. Dispute Resolution

Any dispute arising out of or relating to these Terms or the App shall be resolved by binding individual arbitration administered by the American Arbitration Association (AAA) under its Commercial Arbitration Rules, conducted in Nashville, Tennessee. You waive any right to participate in a class action lawsuit or class-wide arbitration.

13. Entire Agreement

These Terms constitute the entire agreement between you and Market Disrupt regarding your use of FileFetch and supersede any prior agreements or understandings.
